By accessing or using the TransUp Paycheck Studio service ("Service") provided by TransUp Tech LLC ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all the terms and conditions of this agreement, you may not access or use the Service.

2. Description of Service

TransUp Paycheck Studio is a web-based payroll management platform that enables businesses to:

  • Generate professional pay stubs for employees and contractors
  • Manage worker information and payment details
  • Create and manage employment contracts
  • Collect tax-related forms (W-4, W-9, I-9)
  • Send payment notifications via email
  • Track payroll history and records

3. User Accounts

To use certain features of the Service, you must register for an account. When you register:

  • You must provide accurate and complete information
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorized access to your account
  • You are responsible for all activities that occur under your account

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Generate fraudulent or misleading pay stubs
  • Infringe on the intellectual property rights of others
  • Transmit viruses or malicious code
  • Interfere with the proper functioning of the Service
  • Attempt to gain unauthorized access to other users' accounts

5. Payment Terms

Free Plan: Our free plan provides limited features at no cost. Usage limits apply.

Paid Plans: Paid subscriptions are billed monthly or annually in advance. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

Price Changes: We reserve the right to modify our pricing with 30 days' notice to active subscribers.

6. Data Privacy and Security

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We implement industry-standard security measures to protect your data, including:

  • 256-bit SSL encryption for data in transit
  • Encrypted storage for sensitive information

7. Intellectual Property

The Service, including all content, features, and functionality, is owned by TransUp Tech LLC and is protected by copyright, trademark, and other intellectual property laws.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRANSUP TECH LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, RESULTING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless TransUp Tech LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

13. Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Broward County, Florida.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by email or by posting a notice on our website. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
